End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you ("User") and A5U AI ("Company", "we", "us") governing your use of the Coun5el mobile application ("App") available on iOS and Android.

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not download or use the App.

Subject to the terms of this EULA, the Company grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on devices you own or control, solely for your personal, non-commercial purposes.

You may not:

• Copy, modify, or create derivative works of the App or any content within it
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the App
• Sell, sublicense, rent, lease, or transfer the App or your rights under this EULA to any third party
• Use the App to transmit any unlawful, harmful, abusive, or fraudulent content
• Remove, obscure, or alter any proprietary notices, labels, or marks on the App
• Use the App in any manner that violates applicable local, state, national, or international law

You retain ownership of content you submit to the App (cases, documents, photos, messages). By submitting content, you grant the Company a limited license to store, display, and process it solely to provide the service to you.

You are solely responsible for any content you submit and represent that you have all necessary rights to do so.

Coun5el is not a law firm and does not provide legal advice. The App provides general legal information, documentation tools, and self-help resources. Nothing in the App constitutes legal advice or creates an attorney-client relationship. For advice about your specific situation, consult a licensed attorney in your jurisdiction.

Certain features of the App require a paid subscription. Subscriptions are billed on the schedule displayed at the time of purchase. All payments are processed through the applicable app store (Apple App Store or Google Play) and are subject to their terms.

Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date. You can manage or cancel subscriptions in your device's account settings.

The App and all related content, features, and functionality — including but not limited to text, graphics, logos, and software — are the exclusive property of A5U AI and are protected by copyright, trademark, and other intellectual property laws.

Your use of the App is subject to our Privacy Policy, which is incorporated into this EULA by reference. Please review the Privacy Policy to understand our practices.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any term. Upon termination, you must cease all use of the App and delete all copies from your devices. The Company may also terminate or suspend your access at any time, with or without cause.

This EULA is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under this EULA shall be subject to the exclusive jurisdiction of the courts located in Delaware.

We may update this EULA from time to time. We will notify you of any material changes by updating the effective date at the top of this page. Continued use of the App after changes constitutes your acceptance of the revised EULA.
