Terms of Service

By accessing or using Counsel (“the Service”), operated by a5u.ai, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

We may update these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms.

Counsel provides self-help legal information, document preparation worksheets, and guided workflows for landlords dealing with housing disputes in New York City, Miami-Dade County, and other jurisdictions. The Service helps you understand legal processes and prepare materials — it does not provide legal representation or advice of any kind.

All content on Counsel — including guides, checklists, document templates, and any generated text — is for general informational purposes only. Laws, court rules, and procedures vary by jurisdiction and change frequently. You should:

• Verify all legal information with official court resources or a licensed attorney
• Not rely solely on Counsel's materials for legal decisions
• Consult an attorney if your situation involves complex facts, domestic violence, significant money at stake, or criminal elements

You must provide accurate information when creating an account and must be at least 18 years of age. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@a5u.ai if you suspect unauthorized access.

Counsel offers a one-time Single Case purchase ($129) and an Operator monthly subscription ($89/month). All payments are processed securely via Stripe.

Single Case: Unlocks document generation and file uploads for one specific case. This charge is non-refundable once case materials have been accessed.

Operator: Billed monthly. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Refund requests for exceptional circumstances may be submitted to support@a5u.ai within 7 days of purchase.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Upload malicious code or harmful content
• Scrape, reverse-engineer, or copy the Service's content without permission
• Use the Service to harass, defame, or harm any person
• Misrepresent your identity or affiliation

All content, trademarks, and software on Counsel are the property of a5u.ai or its licensors. Document templates generated for your personal case may be used for that case only. You may not resell, redistribute, or publish Counsel’s content without written permission.

By uploading files to the Service, you grant a5u.ai a limited license to store and process that content solely to provide the Service to you. You retain ownership of all content you upload.

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A5U.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless a5u.ai and its officers, directors, employees, and agents from any claims, liabilities, or expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.

These Terms are governed by the laws of the State of Florida. Any dispute shall be resolved by binding arbitration under AAA Consumer Arbitration Rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We may suspend or terminate your account at any time for violation of these Terms. Sections 8, 9, 10, and 11 survive termination.
